Terms of Service

Agreement to Terms

By engaging the services of AmicSocial LLC ("AmicSocial," "we," "us," or "our"), you ("Client" or "you") agree to be bound by these Terms of Service ("Agreement"). This Agreement governs all services provided by AmicSocial and supersedes any prior representations or negotiations between the parties.

Services Provided

AmicSocial provides digital marketing services, which may include but are not limited to:

  • Google Business Profile (GBP) management and optimization
  • Local SEO strategy and implementation
  • Website design and development
  • Social media management
  • Review generation and reputation management
  • Content creation including blog posts and promotional materials
  • Local Service Ads (LSA) setup and management
  • Video editing

The specific services, pricing, and scope for each Client are outlined in the service agreement or invoice signed at the time of engagement.

Payment Terms

3.1  Fees

Client agrees to pay the fees set forth in their service agreement. Fees are billed on a monthly basis unless otherwise stated.

3.2  Payment Methods

AmicSocial accepts payment only by credit card. By providing a payment method, Client authorizes AmicSocial to charge the applicable fees on a recurring monthly basis.

3.3  Late Payment

If payment is not received by the due date, AmicSocial reserves the right to suspend services until the account is brought current. If AmicSocial cancels services due to non-payment, Client agrees to reimburse all unpaid charges through the first billing date after cancellation.

30-Day Money-Back Guarantee

Full refund available within 30 days of your service start date. If you are not satisfied for any reason during the first 30 days, contact us at sales@amicsocial.com to request a full refund.

Refund requests submitted after 30 days from the start date will not be honored. After the 30-day period, all fees paid are non-refundable.

Cancellation & Termination

5.1  By Client

Services are provided on a month-to-month basis with a minimum commitment of one (1) month. After the initial month, Client may cancel at any time by sending a written cancellation request to sales@amicsocial.com. Cancellation takes effect at the end of the current billing cycle.

5.2  By AmicSocial

AmicSocial reserves the right to cancel or suspend services at any time, including but not limited to cases of non-payment, violation of this Agreement, or conduct that AmicSocial deems harmful to its business or reputation.

5.3  Effect of Termination

Upon termination, AmicSocial will cease providing services and Client will lose access to any managed accounts or materials created solely within AmicSocial's platforms. Client retains ownership of their own business accounts (e.g., Google Business Profile, website domain) as applicable.

Client Responsibilities

To enable AmicSocial to perform its services effectively, Client agrees to:

  • Provide accurate and complete business information in a timely manner
  • Grant necessary access to accounts, platforms, or tools required to deliver services
  • Review and approve content or deliverables within a reasonable timeframe
  • Notify AmicSocial promptly of any changes to business information, hours, or offerings

Intellectual Property

7.1  Client-Provided Materials

Client represents and warrants that any artwork, graphics, logos, content, or other intellectual property provided to AmicSocial does not infringe upon the intellectual property rights of any third party. Client agrees to indemnify and hold AmicSocial harmless from any claims arising from the use of Client-provided materials, including attorneys' fees.

7.2  AmicSocial-Created Content

Content, graphics, and materials created by AmicSocial on behalf of Client during the term of the service agreement are intended for Client's use in connection with the agreed services. Upon full payment of all outstanding fees, Client retains the right to use such content for their business purposes.

No Performance Guarantees

AmicSocial makes no guarantees of specific results, rankings, traffic, revenue, or performance outcomes. Digital marketing results depend on many factors outside AmicSocial's control, including search engine algorithm changes, market conditions, and competition. AmicSocial will use commercially reasonable efforts to achieve the best possible outcomes for each Client.

Limitation of Liability

To the maximum extent permitted by applicable law, AmicSocial shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising out of or related to the services provided, even if AmicSocial has been advised of the possibility of such damages.

AmicSocial's total liability to Client for any claim arising under this Agreement shall not exceed the total fees paid by Client in the three (3) months preceding the claim.

SMS Communications & A2P Messaging Terms

10.1  Consent

By providing your phone number and opting in through our website contact form at amicsocial.com/contact or by otherwise agreeing to receive SMS messages, you consent to receive automated text messages from AmicSocial LLC.

10.2  Types of Messages

You may receive SMS messages related to:

  • Missed call follow-ups
  • Appointment reminders and scheduling
  • Project updates and status notifications
  • Account and billing information
  • General customer care communications
"Hi, sorry we missed your call! How can we help? Reply STOP to opt out."
10.3  Message Frequency

Message frequency will vary based on the nature of our communications with you.

10.4  Message & Data Rates

Standard message and data rates may apply based on your mobile carrier and plan.

10.5  Opt-Out

To stop receiving SMS messages, reply STOP to any message, call us at 208-944-0326, or email sales@amicsocial.com to be removed from our list.

10.6  Help & Support

Reply HELP to any message for assistance, or contact us at 208-944-0326 or amicsocial.com/contact.

10.7  No Third-Party Sharing

Phone numbers and SMS opt-in data are not shared with third parties or affiliates for marketing purposes.

Privacy Policy

The collection and use of personal information by AmicSocial is governed by our Privacy Policy, available on our website. By using our services, you agree to the terms of our Privacy Policy.

Governing Law & Dispute Resolution

This Agreement shall be governed by and construed in accordance with the laws of the State of Idaho, without regard to its conflict of law provisions. Any dispute arising out of or related to this Agreement shall be subject to the exclusive jurisdiction of the state and federal courts located in Ada County, Idaho. The parties consent to personal jurisdiction in such courts.

The parties agree that initial process may be served via electronic mail and certified mail, which service shall be presumed complete on the day of mailing and simultaneous transmission of email.

Waiver of Jury Trial

The parties agree to waive their right to a trial by jury as to any issues so triable arising out of or related to this Agreement.

Amendments

AmicSocial reserves the right to update or modify these Terms of Service at any time. Changes will be posted on our website and will take effect upon posting. Continued use of our services following any update constitutes acceptance of the revised terms. This Agreement may also be amended by a written agreement signed by both parties.

Entire Agreement

This Agreement, together with any applicable service agreement or invoice, constitutes the entire understanding between AmicSocial and Client with respect to the subject matter herein and supersedes all prior representations, negotiations, or agreements.
